GENERAL ORDINARY ASSEMBLY

PUERTO VALLARTA, JALISCO, FEBRUARY 29, 2008

 

Pursuant to the notice of assembly published in the local newspapers and pursuant to the bylaws of the constitutive title deed of Conchas Chinas Homeowners Association C. A., in the premises of Club Alejandra, located in Sagitario Street # 379, Conchas Chinas Sector, Puerto Vallarta, Jalisco, on February 29, 2008, at 6:30 PM was held the General Ordinary Assembly of the Conchas Chinas Homeowners Association C. A., according to the following

1.   LIST OF ATTENDANCE AND CALL TO ORDER. LEGAL CONVENING OF THE ASSEMBLY. The list of attendance is attached herewith. The assembly was legally convened by means of a first call. Elinor Prawer and Barbara Peters acted as vote counters.

 

2.   PRESENTATION OF THE MEMBERS OF THE BOARD OF DIRECTORS AND VOTE COUNTERS. The President, Tari Lynne Sigman Schoen introduced the members of the Board of Directors as follows:

3.  APPROVAL OF THE AGENDA. The Agenda was approved and the assembly was legally constituted.

 

4.  PRESIDENT’S REPORT 2007. Tari Lynne Sigman Schoen welcomed and addressed the assembly. She began explaining that the main function of the association has been the maintenance of the public streets, of the lighting system, the garden areas and the beaches. The association personnel is in charge of the repairing of the cobblestone, the cleaning of the streets and sidewalks, the repairing of the public light posts and wiring and the cleaning of the beaches. The Association funds come from the voluntarily paid annual dues and fees applied to construction projects which are the cause of the most serious damage to our roads. We are mandated by the City Government to do this by means of a “Convenio”, an agreement between the Conchas Chinas Colonia and the municipal authorities which is signed anew with each administration. The new administration is trying to respect our rules, but has not as yet signed the document.

In Puerto Vallarta during the last few years we have witnessed an appalling overdevelopment. Everyday we have to deal with an unrelenting traffic congesting, water problems, sewer issues and pollution in our bay, to name a few. As homeowners we care about maintaining the value of the property but we also care about our city. There are many topics concerning us as a board that are related to ways to accomplish both concerns. It has been difficult to work with a City government more interested in selling our land to the highest bidders and with some of our own homeowners who have followed similar paths where profits become more important than the preservation of the quality of life that we thought we had found when we bought our homes. In spite of, or perhaps because of those obstacles, we have been challenged to pursue the battle of improving Conchas Chinas and of course, Puerto Vallarta. Harvey Prawer, our director of Maintenance, has an impressive list of this year projects and a list for the future. We hope the next board will continue with the same enthusiasm.

I have been a part of the Association since its inception in 1990. I have witnessed too many administrations in City Hall that either refused to acknowledge Conchas Chinas or denied us importance because we do not vote. But the realization that we do pay substantial property taxes upped our interest to the powers that be, and helped us accomplish some of our projects along the way. The one thing I have learned during my 25 years in Mexico is that you never give up. You keep pushing on doors and people, look for new avenues of communication, for networks of people who care like you do, or for different approaches to resolving the same old problems, and little by little progress happens, As you know we will select a new board tonight. I hope they never give up because we have too much worth preserving both in our colony and our city. At the present time we are working closely with officers of some City Departments such as the Planning Department, Public Works and the police in order to create an active relationship between the City and Conchas Chinas City Sector. (The President’s report is attached herewith as annex number 1).

 

5. TREASURER’S REPORT. 2007 Jerry Lafferty’s financial report was read to the assembly. He explained that the association income had been raised in a 20% in relation to 2007. This situation had been possible mainly to the construction permits augmentation as well as to the increase of Conchas Chinas Civil Association membership..  

The expenses have also been considerable especially those invested in the remodeling of the South and North entrance and also in the road repair works, since traffic has been more concentrated because of the transportation of the construction material. Also Harvey Prawer has been intensifying his efforts and those of his crew in order to maintain and improve the urban conditions in Conchas Chinas.

Harvey Prawler report was unanimously approved by the assembly.

5.   MAINTENANCE REPORT 2007 Harvey Prawer began expressing the association appreciation to the owners of Condominium Club Alejandra for once again allowing Conchas Chinas home-owners to hold their Annual Assembly in the premises of the Club. Next he commendably referred to the “hard working membership auxiliary members”: Linda Petty and Susan Kasperson, who are responsible for the informative newsletters e-mailed throughout the year.

Then he referred to the association goal that consists of maintaining and improving the condition of the upper and lower Conchas Chinas Sector as a desirable place to live in. He mentioned that the city authorities only provide police and fire protection, garbage collection and eventually some attention to green areas.

Harvey Prawer enumerated a partial list of tasks performed in his areas of responsibility with limited staff and funds, as follows:

 

*    To meet with the city authorities seeking support for our projects.

*    To constantly monitor and report utility failures to the proper authorities

*    To review and approve new constructions and remodeling projects

*    To maintain and repair all cobblestone roads and sidewalks

*    To maintain and repair street lights and poles, including the underground wiring system

*    To maintain and repair all common areas planters &gardens and to provide a source of water to maintain the plants.

*    The removal and disposal of all trash and debris from the common areas

*    To maintain and sweep all common areas with a defined zone work schedule

*    To maintain and clean Conchas Chinas beach for the benefit of residents and tourists

*    To provide garbage receptacles throughout the beach and the colonia

*    To maintain tools and garden storage spaces at the south entrance and replace tools as needed

*    To maintain a full time crew (three men): Jacinto, Nicolás and Vidal.

*    To retain the services of Sam Martínez as assistant administrator and expeditor (his capable assistance is vital).

*    To retain the services of the consultant architect Alfonso Baños to review construction blue prints and help in different matters.

*    The publishing and distributing of Public Service notices, to be found at www.conchas chinas.net

*    To have removed the non permitted illegal signs placed in common areas.

*    To place signs where necessary to improve safety conditions at our entrances and exits spots.

*     To assist property owners reporting loud noise and music in violation to the curfew of 12 o clock

*    To report major rock and soil slides and seek their removal.

*    To monitor and report rock and soil slides that impede traffic and seek the voluntary cooperation of the responsible owners to remove the debris at their expense.

*    To obtain the cooperation from all the owners and contractors to promptly removing construction materials and debris that fell on Conchas Chinas common roads and sidewalks.

*    To monitor and report tour buses and trucks parking at our entrances aprons creating unsafe entry conditions.

 

Harvey Prawer also mentioned the projects accomplished since the last Conchas Chinas Home-owners assembly was held, as follows:

 

1.            Road repairs made in lower and upper Conchas Chinas

2.            Street lighting & Pole Maintenance, including underground wiring system

3.            Seapal repairs to water & sewer lines

4.            Expanded work force

5.            Restoration of badly rusted iron railing on beach stairway

6.            Seapal water meter installed at the north exit ramp to service the gardens of the north entrance.

7.            Restoration of Madre Perla concrete and brick arch located at the south entrance

8.            At last, the Parks and Gardens City Department started the tree trimming maintenance at the south entrance.

9.            To report loud rowdy behavior or excessively loud music/noise after midnight.

10.       CFE activities performed at Conchas Chinas such as the repairing of  underground damages, as well as those surface and poles damages, that during the year caused several problems and annoyance to Conchas Chinas Home-owners.

11.       The Board of Directors of C. CH Association challenged the illegal construction by developers of a barrier fence at the base of Miramar, which blocked the access to the cul-de-sac turn around Rinconada Conchas Chinas.

12.       Construction Site and Land Slides & construction debris on Public Roads.

 

The Maintenance report was unanimously approved by the assembly.

 

*    Nicholas Coates explained the assembly that Vista Banderas project was sold to Group Alanís from Monterrey and that they are very diligent developers and also aware of their obligations in relation to the remodeling of the South entrance, including the arch. He added that they want to build a high class development and also intend to be good neighbors. They have been interested in the maintenance of the roads. Harvey Prawer added that these new developers have fully understood their obligations to Conchas Chinas and willing to submit the blue prints to the consideration of the Board of Directors before they start the remodeling works.

 

7.  REPORT ON THE FEES COLLECTION. Susan Kasperson. It was explained that the association collected 28,863 USD, which is almost the double of the $16,314 collected the previous year.

This increased collection was possible thanks to the cooperation of new homeowners and developers.

For annual dues the association received $10,000 less than it did in 2004, which is hard to accept considering the number of new paying members and considering the number of new homes that have been built over the last 4 years, the program designed last year to bring on board more condominiums has been successful in some areas and slow in others. This means that we have to find a way to interest additional neighbors. We have to invite our friends, neighbors and acquaintances and convince them to join us for the benefit of their home, neighborhood, property value and the city.

 

8.  CONCHAS CHINAS PARTIAL DEVELOPMENT PLAN. The architect Alfonso Baños, Conchas Chinas Technical Advisor in Urbanism, explained the assembly that from August to December 2007, a group of students of architecture carried out a survey to determine the population density in Conchas Chinas Sector. It was found that from the total number of dwelling units, 25% twenty five per cent are lofts or units under condominium ownership regime. The population density is the following:

 

 27% of the Conchas Chinas Sector has a low population density

20% of the Conchas Chinas Sector has a medium population density

50% of the Conchas Chinas Sector has a high population density.

He added that most of the condominium construction projects were approved in a suspicious fashion and that 71 of these construction projects were approved during the last two weeks the previous administration was in force without the approval of the Conchas Chinas Homeowners Association C:A:

Alfonso Baños pointed out that the Conchas Chinas Sector problems were a part of the general urban problems of the County and that the Municipal Government has hired an important architect specialist in urban matters whose name is Basilio Verduzco and that soon a long term development plan shall be made in relation to the promised work.

 

9.  ELECTION OF THE NEW BOARD Tarry Bowman informed the assembly that the members who have paid their current fees have the right to vote and for that purpose have received a ballot. The proposed slate of officers for the next Board is the following:

    The slate was unanimously elected by the Assembly.

 

Some of the present members at the assembly made several comments as follows:

*    Barbara Peters mentioned that next to her house there is a high construction going on and that the same developers have plans to construct a many stories building. On this issue Tari Sigman Schoen informed that the association is aware of the fact and is trying regulate the process

*    Conrad Kent stated his opinion on the north entrance, the aprons and the buses.

*    John Bertrami and Conrad Kent talked about the adoption of the fountains of the colonia and also referred to the buses issue.

*    Carl von Patton mentioned the boundaries definition issue.

*    Martha Olsen requested to be supported on a burglary suffered by her and her family.

 

10. ADJOURNMENT AND SETTING OF THE DATE OF THE NEXT ASSEMBLY. Tari Bowman adjourned the assembly at 8.10 PM and

announced that on February, last Friday, at the same hour the next

Conchas Chinas Homeowners Association Assembly will be held.

De conformidad con la convocatoria publicada en los periódicos de la localidad y de conformidad con los reglamentos de la escritura constitutiva de la Asociación de Colonos de las Conchas Chinas , A. C., en las instalaciones del Club Alejandra, ubicadas en calle Sagitario # 379, Colonia Conchas Chinas, Puerto Vallarta, Estado de Jalisco, el día 29 de febrero de 2008 a las 6:30 PM, se celebró la Asamblea General Ordinaria de la Asociación de Colonos de las Conchas Chinas, A. C. de acuerdo con el siguiente

Se adjunta la lista de asistencia. La asamblea fue legalmente instalada por medio de la primera llamada. Elinor Prawer y Barbara Peters actuaron como escrutadoras.

3.  APROBACIÓN DEL ORDEN DEL DÍA . El Orden del Día fue aprobado y la Asamblea fue legalmente constituida,

4.  INFORME DEL PRESIDENTE 2007. Tari Lynn Sigman Schoen dio la bienvenida a los presentes y se dirigió a la asamblea. Comenzó explicando que la función principal de la asociación consistía en el mantenimiento de las calles de la colonia, el sistema de alumbrado, las áreas verdes y las playas. El personal de la asociación tiene a su cargo la reparación del empedrado, la limpieza de las calles y las aceras, la reparación y cableado de los postes de alumbrado público y la limpieza de las calles y las aceras. Los fondos de la asociación se derivan de contribuciones anuales voluntariamente pagadas y de las cuotas que se aplican a los proyectos de construcción  que son el origen de los daños más graves que se producen en nuestras calles. Esta recaudación de fondos es realizada por la  asociación con la autorización del gobierno municipal, mediante un Convenio entre la Colonia de las Conchas Chinas y las autoridades municipales. El convenio se renueva con cada nueva administración, La nueva administración está tratando de respetar nuestras reglas, sin embargo, aun no se firma el documento correspondiente. En Puerto Vallarta durante los últimos años hemos sido testigos de un desarrollo desmedido. Todos los días debemos enfrentar entre otros inconvenientes, la incesante congestión producida por los  automotores, problemas a causa del agua, situaciones derivadas de la polución y del drenaje en nuestra bahía. En nuestro carácter de propietarios nos interesa conservar el valor de nuestras propiedades, pero también nos preocupa nuestra ciudad. Existen muchos temas que nos conciernen como dirigentes de la asociación que tienen relación con la forma de enfrentar ambas cuestiones. Ha sido difícil trabajar con el gobierno municipal por estar más interesado en vender nuestras tierras al mejor postor y también con ciertos propietarios que han tomado caminos similares en los que las ganancias son más importantes que la preservación de la calidad de la vida que pensamos habíamos encontrado cuando compramos nuestras casas . A pesar, o tal vez a causa de estos obstáculos, hemos aceptado el desafío de continuar con la batalla encaminada al mejoramiento de las Conchas Chinas y por supuesto de Puerto Vallarta. Harvey Prawer, nuestro director de mantenimiento, tiene una lista impresionante de proyectos para llevar a cabo en este año y otra lista semejante para el futuro. Esperamos que los miembros de la siguiente junta directiva continuarán desempeñando su tarea con el mismo entusiasmo.

Desde sus inicios en 1990, yo he formado parte de la Asociación y he sido testigo del desfile de muchas administraciones en el Ayuntamiento,

que se negaron a reconocer Conchas Chinas o que nos restaron importancia porque nosotros no votamos en las elecciones, Sin embargo, el hecho de que paguemos una cantidad sustancial por concepto de impuestos nos ha hecho mas interesantes para los funcionarios y ha contribuido al logro de alguno de nuestros proyectos. Durante los 25 años que he pasado en México he aprendido que nunca debemos rendirnos. Hay que tocar todas las puertas y hablar con toda la gente, hay que buscar nuevas avenidas de comunicación, nuevos grupos de personas que compartan nuestros intereses, o diferentes métodos para resolver los mismos viejos problemas y poco a poco los avances van apareciendo. Sinceramente espero que no nos demos por vencidos, porque tenemos mucho que preservar tanto en nuestra colonia como en nuestra ciudad. Para terminar señalaré que en la actualidad estamos trabajando estrechamente con funcionarios de algunos departamentos del Municipio, como por ejemplo el Departamento de Planeación, el de Obras Públicas y el de la policía, con el fin de crear y mantener una relación activa entre el Municipio y la Colonia de Las Conchas Chinas. (El informe del presidente se adjunta como Anexo número 1).

 

5.  INFORME DEL TESORERO.  Se dio lectura al informe financiero del Tesorero, Jerry  Lafferty, quien explicó que los ingresos de la Asociación habían aumentado en un 20% en relación con 2007 y que esta situación era principalmente el resultado del aumento en el número de cuotas pagadas por concepto de permisos de construcción, así como a causa del aumento en la membresía de la Asociación de Colonos de las Conchas Chinas, Asociación Civil. Sin embargo, los gastos han sido también considerables, en especial los relacionados con la remodelación de las entradas norte y sur y con los trabajos de reparación de las calles, porque el tráfico ha aumentado a causa del transporte de de los materiales de las construcciones. Igualmente, Harvey Prawer ha intensificado sus esfuerzos y los de sus trabajadores con el fin de mantener y mejorar las condiciones urbanas de la Colonia de las Conchas Chinas,  El informe de Jerry Lafferty fue aprobado de manera unánime por la asamblea.

 

6.  INFORME DE MANTENIMIENTO. 2007. Harvey Prawer comenzó agradeciendo a los propietarios del Condominio Club Alejandra por permitirles una vez más celebrar su asamblea anual en sus instalaciones. A continuación se refirió con encomio al trabajo desarrollado por las vocales Linda Petty y Susan Kasperson que son las responsables de la elaboración de las circulares informativas enviadas por e-mail durante todo el año,  Se refirió igualmente al objetivo de la asociación que consiste en mantener y mejorar las condiciones de la Colonia Conchas Chinas, en sus secciones alta y baja, y lograr que se conserve realmente como un lugar deseable para vivir en él. Mencionó que las autoridades municipales únicamente proporcionan servicios de protección policíaca y de bomberos, recolección de basura y de manera intermitente proporcionan servicios de jardinería en las áreas verdes. Harvey Prawler enumeró de manera parcial las tareas efectuadas en las áreas de trabajo que están bajo su responsabilidad, con un número bastante limitado de de empleados y recursos, como sigue:

ü              Reunirse con las autoridades municipales con el fin de obtener apoyo para sus proyectos.

ü              Monitorear de manera constante los servicios públicos y reportar las fallas a las autoridades indicadas

ü              Revisar y aprobar las construcciones nuevas y los proyectos de remodelación.

ü              Conservar y reparar todas las calles empedradas y las aceras

ü              Conservar y reparar los postes y las lámparas del alumbrado público, incluyendo el sistema de cableado subterráneo

ü              Conservar y reparar todas las áreas verdes y jardineras y proporcionar fuentes de agua para el mantenimiento de las plantas.

ü              La recolección y eliminación de toda la basura y el cascajo de las áreas comunes

ü              Conservar y barrer todas las áreas comunes mediante un programa definido de
